Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Nexly platform at nexlyflow.com (the “Service”), operated by WHL Logistics Pte Ltd (“Nexly”, “we”, “us”, or “our”), a company registered in Singapore. By creating an account or using the Service, you agree to these Terms.

1. Eligibility and Accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate information and to keep it up to date.

2. The Service

Nexly provides tools to manage prospect lists, create and send outreach email, track engagement, and automate follow-ups, together with consent records, unsubscribe management, and deliverability features. We may add, change, or remove features from time to time.

3. Acceptable Use and Anti-Spam

You agree to use the Service lawfully and in compliance with all applicable laws, including anti-spam and data protection laws such as Singapore’s PDPA (including its Do Not Call provisions), the EU GDPR, the US CAN-SPAM Act, and Canada’s CASL, to the extent they apply to your activities. You must not use the Service to:

  • send unsolicited messages to recipients from whom you have no lawful basis to contact;
  • send content that is unlawful, deceptive, harassing, or infringing;
  • purchase or use contact lists in violation of applicable law;
  • evade unsubscribe, suppression, or spam-prevention mechanisms; or
  • send emails without a functioning unsubscribe mechanism where one is required.

You are solely responsible for the content you send and for having a lawful basis to contact each recipient. You must promptly honour unsubscribe and deletion requests.

4. Customer Data

You retain ownership of the data you upload. You grant us a limited licence to process that data solely to provide the Service. You represent that you have the necessary rights and lawful basis to upload and process the data, and you act as the data controller for that data.

5. Credits, Billing, and Refunds

Certain features consume credits or require a paid plan. Prices, credit packages, and sending limits are described in the Service and may change. Payments are processed through our third-party payment providers. Except where required by law, fees and credits are non-refundable once consumed.

6. Deliverability and Sending

You are responsible for configuring your own sending mailbox (SMTP) and for your sender reputation. We provide guidance such as warm-up recommendations and deliverability checks, but we do not guarantee inbox placement, delivery rates, or any particular outcome from your campaigns.

7. Service Availability

We aim to keep the Service available but do not guarantee uninterrupted or error-free operation. We may suspend the Service for maintenance, security, or legal reasons.

8. Suspension and Termination

We may suspend or terminate your access if you breach these Terms, use the Service unlawfully, or create risk to the Service or others. You may stop using the Service at any time. Provisions that by their nature should survive termination will survive.

9. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, to the maximum extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability

To the maximum extent permitted by law, WHL Logistics Pte Ltd will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill. Our total liability arising out of or relating to the Service will not exceed the amount you paid to us in the twelve months preceding the claim.

11. Indemnity

You agree to indemnify and hold harmless WHL Logistics Pte Ltd from claims, losses, and expenses arising from your use of the Service, your content, or your breach of these Terms or applicable law, including any claim arising from your outreach activities.

12. Governing Law

These Terms are governed by the laws of Singapore, and you submit to the exclusive jurisdiction of the courts of Singapore, without prejudice to any mandatory consumer protection rights you may have in your place of residence.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified through the Service or by email. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
